Rio Tinto confirms receipt of Resolution from Palliser Capital

Rio Tinto confirms that it has received a notice from Palliser Capital, requesting the Board of Directors to include a resolution at the Company’s next Annual General Meeting regarding the Company’s stock exchange listings and dual listed company structure. 
 
The Company is reviewing the notice with its legal advisors and will provide a further update in due course. Shareholders do not need to take any action at this time. 
 
Pursuant to the UK Companies Act 2006, shareholders have the right to requisition a resolution at the AGM if they provide notice of shareholders representing 5% of shares outstanding or a total count of shareholders of 100 or more on which there has been paid up an average sum, per shareholder, of at least £100 of share capital. Upon initial review, the Company notes that Palliser Capital has made the requisition by meeting the count threshold providing notice representing 121 shareholders. The requisitioning shareholders hold less than 0.01% of Rio Tinto plc’s total listed equity.
